Terms of Service

Terms governing Project2Pixel service engagements.

1. Introduction

These Terms of Service govern services provided by Project2Pixel. They apply together with the quotation, scope or service agreement for an engagement; those documents remain the source for project-specific commercial details.

2. Services and Scope

Project2Pixel provides business support and digital services including executive and administrative support, websites, CRM and business systems, workflow automation and ongoing digital care. Each engagement is defined before work begins. Business Support covers agreed executive, administrative and operational support; separate digital development, website, CRM implementation or migration, automation, custom integration and other project work may be scoped and quoted independently.

3. Business Support Terms and Payment

Business Support packages operate month-to-month unless otherwise agreed in writing. Packages are invoiced monthly in advance, and payment is due before the applicable monthly service period begins unless otherwise agreed in writing.

Either party may terminate an ongoing month-to-month Business Support arrangement by providing at least 30 calendar days' written notice, including by email. Services continue and fees remain payable for services and reserved capacity during the applicable notice period unless otherwise agreed, subject to applicable South African law.

4. Support Hours and Additional Work

Monthly packages reserve a defined level of Project2Pixel capacity. Unused hours expire at the end of the applicable monthly service period and do not automatically roll over. If Project2Pixel is unable to provide agreed support due to its own availability or service failure, an appropriate credit, carry-forward or alternative arrangement may be agreed with the client.

Additional support beyond included package hours may be provided at R400 per hour, subject to availability and the client's prior approval. Project2Pixel will obtain approval before work that results in extra-hour charges. Consistently higher requirements may lead to a recommendation for a higher monthly package.

5. Monthly Service Fees

Monthly service fees are generally non-refundable once the relevant service period has begun and Project2Pixel has reserved capacity or commenced work. This does not limit rights or remedies under South African law or where Project2Pixel has failed to provide an agreed service.

6. Website Subscriptions and Setup

Website setup fees cover the agreed initial planning, creation and launch work and are separate from monthly subscription fees. Once setup work has started, setup fees are generally not refundable, except where required by law or where Project2Pixel fails to deliver the agreed service.

After setup and launch, ongoing website subscription services operate month-to-month and may be cancelled with at least 30 calendar days' written notice unless otherwise agreed. Ownership, access and transfer arrangements are confirmed in the applicable quotation or service agreement. Migration, export or transfer work outside the ordinary subscription service may be quoted separately.

7. Client Responsibilities, Revisions and Timelines

Clients are responsible for providing required information, content, approvals, access and feedback within agreed timeframes. Revision allowances depend on the agreed scope; material changes may be charged separately. Delivery depends on scope, third-party services and timely client responses.

8. Intellectual Property

Unless the applicable quotation or service agreement states otherwise, final project deliverables are transferred to the client upon receipt of full payment. Project2Pixel may showcase completed work in its portfolio unless the parties agree otherwise.

9. Domains and Third-Party Services

Where possible, a client's domain should be registered in the client's name or in an account accessible to the client. Domain registration and renewal, hosting, software and other third-party services may be charged separately unless specifically included in a quotation, and may have their own terms. Project2Pixel is not responsible for third-party outages or policy changes outside its control.

10. Confidentiality

Project2Pixel will take reasonable steps to protect confidential information received while providing services and will use it only as necessary to deliver the agreed work, subject to applicable law and any separate confidentiality agreement.

11. Termination and Governing Law

Engagements may be terminated subject to these terms, the Cancellation Policy and any applicable quotation or service agreement. These terms are governed by the laws of South Africa.
